EC [Cross-Border Mergers] Regulations 2008 – Legal Office Notice No. 5 of 2009

The above regulations came into operation on 27th of May 2008, giving effect to EU Directive No 2005/56/EC. The regulations permit cross–border mergers between European Economic Area [EEA] limited liability companies involving at least one Irish company and at least one non-Irish EEA company. A cross- border merger will come into effect under the Regulations by the granting of a court order by either an Irish court or a court of another jurisdiction. Any applications for registration on the foot of the above regulations are to be referred to the Deputy Registrar. A further Office Notice will issue in due course.
